The following Terms and Conditions (T&C) are intended to summarize pertinent provisions of Nelson Industrial Hygiene's official T&C document and are provided here for informational purposes and not legally binding. An official T&C document will be submitted to the client as a proposal attachment along with a T&C Agreement page to be signed and returned to Nelson Industrial Hygiene, LLC upon award of the project. If a verbal or written electronic authorization to proceed is given, it will be mutually understood that both the client and Nelson Industrial Hygiene, LLC are bound contractually to the proposal and the conditions stated within, even in the absence of a written acceptance (signature) during project startup.
Clients utilizing a purchase order (PO) system must submit this document to Nelson Industrial Hygiene, LLC before onsite work begins. Project deliverables will not be submitted to the client until a PO has been sent to Nelson Industrial Hygiene, LLC. Payment of invoices will be on a Net 30 schedule beginning upon the electronic submission of the invoice to the client. If the client has a company payment schedule beyond 30 days, the client must inform Nelson Industrial Hygiene, LLC before the start of project work to arrange an extended remittance of payment. The extended payment schedule must be submitted in writing or clearly listed on the PO document associated with the project. Payment schedules beyond 90 days will not be accepted. Nelson Industrial Hygiene, LLC retains the property and copyrights to all project documents drafted during execution of the work including deliverables. Written consent must be obtained by the client from Nelson Industrial Hygiene, LLC for any usage of these documents beyond their intended purposes. In the event any project document is reused or modified without prior written approval, the client agrees to defend, hold harmless, and indemnify Nelson Industrial Hygiene, LLC for any claims advanced due to their reuse or modification.
As previously stated, other terms & conditions not listed here will apply with the intention to be legally bound. All contractual provisions and conditions are listed within the official T&C document provided as an attachment in the project proposal.
